1. Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Platform. By using PearlAgric, you confirm that you meet this requirement.

2. User Roles

PearlAgric connects:

• Farmers — who create and manage agricultural projects.
• Investors — who provide funding and support to farming projects.

Each role has unique permissions and responsibilities within the Platform.

3. Account Registration

To use PearlAgric, you must register for an account, providing accurate and complete information. You are responsible for safeguarding your login credentials and agree to notify us immediately of any unauthorised use.

4. Use of the Platform

You agree to:

• Use the Platform only for lawful purposes.
• Not misrepresent your identity or provide false information.
• Not interfere with the security or proper functioning of the Platform.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Project Funding, Fees & Financial Disclaimers

PearlAgric facilitates connections between Farmers and Investors but does not guarantee the success of any farming project or any specific return on investment. All users are advised to conduct their own due diligence before committing funds.

Platform Fees:

• A $6 (USD) service fee is retained by PearlAgric from each investment transaction made through the Platform.
• A $4 (USD) service fee is retained by PearlAgric from each return on investment (ROI) disbursement.

These fees support the operation, security, and continued development of the PearlAgric Platform.

6. Content Ownership

User-Generated Content: You retain ownership of content you upload (e.g., farm photos, project descriptions), but grant us a licence to use, host, and display it as needed to operate the Platform.

Platform Content: All other content (UI, design, code, etc.) is owned by PearlAgric and may not be copied, modified, or distributed without our written permission.

7. Privacy

Your use of PearlAgric is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

8. Prohibited Conduct

You agree not to:

• Engage in fraud or misrepresentation.
• Upload harmful or illegal content.
• Attempt to gain unauthorised access to any part of the Platform or its systems.

9. Termination

We may suspend or terminate your account if we believe you've violated these Terms or for any reason deemed necessary to protect the integrity of the Platform.

10. Limitation of Liability

To the maximum extent permitted by law, PearlAgric is not liable for any indirect, incidental, or consequential damages, including lost profits, arising out of your use of the Platform.

11. Changes to Terms

We may update these Terms from time to time. We will notify users of significant changes via email or app notification. Continued use of the Platform after such updates means you accept the revised Terms.

12. Governing Law

These Terms are governed by the laws of Uganda. Any disputes shall be resolved in the courts of law of Uganda.
